By accessing or using the LateranAI platform and services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you must not access or use the Service.
2. Description of Service
LateranAI provides an AI-powered proctoring platform designed to ensure academic integrity during examinations. The Service includes real-time monitoring, identity verification, behavioral analysis, and integrity reporting tools. Features and availability may vary by subscription plan.
3. User Accounts
3.1 Registration
You must provide accurate and complete information when creating an account — whether directly or through a client of our services. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
4. Acceptable Use
You agree not to:
- Attempt to circumvent, disable, or interfere with the proctoring system
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Reverse engineer, decompile, or disassemble any part of the Service
- Share account credentials or allow unauthorized access to the Service
- Transmit malicious code, viruses, or other harmful content
- Interfere with or disrupt the integrity or performance of the Service
- Use automated tools to scrape, crawl, or extract data from the Service
- Impersonate another person or misrepresent your identity during proctored sessions
5. Proctoring and Monitoring
5.1 Consent
By participating in a proctored exam, you consent to the monitoring and recording of your exam session, including video, audio, screen activity, and biometric data as described in our Privacy Policy.
5.2 AI Analysis
Our AI systems analyze session data to detect potential violations of exam integrity. Flagged incidents are reported to authorized institutional administrators for review. LateranAI does not make final determinations regarding academic misconduct — these decisions rest with the institution.
5.3 Technical Requirements
You are responsible for ensuring that your device, browser, and internet connection meet the minimum technical requirements for the Service. Failure to meet these requirements may result in an inability to complete your proctored session.
6. Subscription and Payment
6.1 Plans and Pricing
The Service is offered under various subscription plans as described on our pricing page. Pricing is subject to change with reasonable notice. Changes will not affect the current billing period.
6.2 Billing
Subscriptions are billed on a recurring basis (monthly or annually) as selected at the time of purchase. You authorize us to charge your payment method for all fees incurred under your account.
6.3 Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods unless required by applicable law.
7. Intellectual Property
The Service, including all software, algorithms, designs, text, graphics, and other content, is owned by LateranAI and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
You retain ownership of any content you submit through the Service. By submitting content, you grant LateranAI a license to use it solely for the purpose of providing and improving the Service.
8. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or completely secure. AI-powered analysis may produce false positives or false negatives. Final decisions regarding academic integrity remain with the institution.
9. Limitation of Liability
To the maximum extent permitted by law, LateranAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Service, regardless of the theory of liability. Our total liability shall not exceed the amount paid by you to LateranAI in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless LateranAI, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
11. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, upon notice. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will remain in effect.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which LateranAI is incorporated, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of that jurisdiction.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
